1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Settleby platform ("Platform").
Settleby Ltd ("Settleby", "we", "us", "our") provides technology infrastructure to facilitate payment collection and structured settlement between customers and independent trades ("Trades").
By accessing or using the Platform, you agree to these Terms.
2. Role of Settleby
Settleby acts solely as a technology infrastructure provider.
Settleby:
- Provides checkout, payment orchestration, and settlement logic
- Enables Trades to collect payments from Customers
- Facilitates structured settlement based on defined conditions
Settleby does not:
- Provide construction or trade services
- Act as a contractor or subcontractor
- Hold or safeguard customer funds
- Provide escrow services
- Act as a payment institution
- Provide credit or act as a credit broker
Settleby provides tooling for structured settlement but does not guarantee payment outcomes.
All services are provided directly by Trades to Customers.
3. Parties to the Transaction
- The Trade is the service provider and contracting party
- The Customer purchases services directly from the Trade
- Settleby is not a party to the underlying service agreement
Settleby is not responsible for:
- The quality, performance, or completion of services
- Any contractual disputes between Customer and Trade
4. Payments
4.1 Payment Processing
All payments are processed by third-party providers, including Stripe.
By making a payment, you agree to:
- Stripe’s terms and conditions
- Applicable payment network rules
Settleby does not store or process card details.
4.2 Payment Flow
- Customers may be required to pay the full job amount at checkout
- Funds are processed and held by Stripe during the clearance period
- Payments are released to Trades based on settlement conditions
4.3 Fees
- Platform fees are applied per transaction
- Fees are determined at the time of payment
- Fees are non-refundable unless required by law
5. Settlement & Satisfaction Flow
Settleby introduces a structured settlement process:
- Trade marks the job as complete
- Customer receives a satisfaction request
- Customer may:
- Confirm completion
- Accept with minor issues
- Raise a concern
Final payment is released when:
- Customer confirms completion; or
- A defined review period expires
Settlement is governed by system rules and cannot be unilaterally triggered by either party.
Settleby provides tooling for structured settlement but does not guarantee payment outcomes.
6. Refunds & Reversals
Refunds are initiated by the Trade and executed via Stripe.
Refund eligibility depends on the stage of the transaction:
- Before fund clearance: standard refund
- After deposit payout: refund with transfer reversal
- During satisfaction flow: refund permitted, settlement paused
- After satisfaction confirmation: refunds are not permitted
- After full settlement: refunds must be handled outside the Platform
Refund amounts may be reduced by:
- Payment processing fees
- Platform fees
All refund details are presented before confirmation.
7. Disputes
Settleby provides a structured dispute process prior to final settlement:
- Customers may raise concerns and submit evidence
- Trades may respond
- Settlement is paused during this process
Settleby does not:
- Adjudicate disputes
- Act as a mediator or arbitrator
Where disputes cannot be resolved:
- Parties may escalate via Stripe or external channels
- Settleby may provide records and supporting evidence
8. Trade Accounts
Trades must:
- Provide accurate and complete information
- Maintain an active Stripe connected account
- Comply with Stripe’s verification and compliance requirements
Settleby may:
- Restrict or suspend functionality where required by Stripe
- Surface account status and required actions
9. Customer Use
Customers agree to:
- Provide accurate information
- Make payments in good faith
- Use the Platform only for legitimate transactions
10. Platform Availability
Settleby aims to provide a reliable service but does not guarantee:
- Continuous availability
- Error-free operation
We may:
- Update or modify the Platform
- Suspend access for maintenance or security reasons
11. Limitation of Liability
To the fullest extent permitted by law, Settleby shall not be liable for:
- Services provided by Trades
- Disputes between Customer and Trade
- Delays or failures caused by third-party providers (including Stripe)
Settleby provides tooling for structured settlement but does not guarantee payment outcomes. Settleby’s liability is limited to the amount of fees paid to Settleby in relation to the relevant transaction.
12. Data Protection & Privacy
Settleby Ltd acts as a data controller for personal data processed through the Platform.
We process personal data in accordance with:
- UK GDPR
- Data Protection Act 2018
Settleby:
- Collects only data necessary to operate the Platform
- Does not store or process payment card details
- Uses third-party providers for payment processing and infrastructure
Stripe acts as an independent data controller for payment-related data.

14. Third-Party Services
The Platform relies on third-party providers, including:
- Stripe (payments and compliance)
- Email and infrastructure providers
Settleby is not responsible for the performance of these services.
15. Termination
We may suspend or terminate access where:
- These Terms are breached
- Fraudulent or unlawful activity is suspected
- Required by law or third-party providers
16. Changes to Terms
We may update these Terms from time to time.
Continued use of the Platform constitutes acceptance of updated Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales.
